الشروط والأحكام – أكاديمية الريادة الشاملة  (Omnipreneurship Academy)

1-      التعريف بالأكاديمية

أكاديمية الريادة الشاملة (Omnipreneurship Academy) هي منصة تعليمية/تدريبية "الأكاديمية" تُقدِّم برامج ودورات تطويرية من خلال الموقع الالكتروني وتطبيق الاجهزة الذكية (ويُشار إليهما معًا في هذه الشروط باسم "المنصة")، ويتم تشغيلها وادارتها من مقرها الرئيسي في المملكة العربية السعودية.

تشكل هذه الشروط اتفاقًا ملزمًا بين الأكاديمية وجميع مستخدمي المنصة أو المسجلين بها، سواء من منسوبي مجموعة الدباغ والشركات التابعة لها أو من المستخدمين الخارجيين الراغبين في الاستفادة من خدمات المنصة.

2-      قبول الشروط

باستخدامك للمنصة أو تسجيلك فيها أو استمرارك في استخدامها، فإنك تقرّ  وتوافق على جميع شروط الاستخدام و بما يلي:

·         أنك قد قرأت هذه الشروط وفهمتها وتوافق على الالتزام بها وبأي سياسات أخرى مرتبطة بها، بما في ذلك سياسة الخصوصية.

·         أنك ملتزم بجميع الأنظمة واللوائح المعمول بها في المملكة العربية السعودية ذات الصلة عند استخدامك للمنصة.

كما تتضمن هذه المنصة مجموعة من الأحكام والشروط والسياسات التي قد تخضع للتعديل أو التحديث بشكل مستمر وفقاً لما تقتضيه الحاجة. وتصبح جميع التعديلات أو التحديثات نافذة وملزمة فور تحديثها ونشرها في المنصة و يتحمل المستخدم مسؤولية مراجعة شروط الاستخدام بصورة دورية للاطلاع على أي تغييرات تطرأ عليها. ويُعد استمرارك في استخدام المنصة بعد إجراء أي تعديل أو تحديث بمثابة إقرار منك بالاطلاع على التعديلات وبالموافقة الكاملة على كل ما ورد فيه.

1-      الاستخدام العام

تقدم الاكاديمية محتواها  من خلال المنصة ويُعدّ عملاً محمياً بحقوق النشر و/أو العلامات التجارية العائدة  للاكاديمية أو لمرخِّصيها ومورِّديها من الغير أو لمستخدمي المنصة الآخرين (ويُشار إليها مجتمعة بـ “المواد”). وقد تشمل هذه المواد الشعارات والرسومات ومقاطع الفيديو والصور والبرمجيات وغيرها من المحتوى.

مع مراعاة هذه الشروط والاحكام، وبشرط امتثالك لها تمنحك الاكاديمية بموجب ذلك الاستفادة من خدماتها المتاحة على المنصة وذلك للاستخدام الشخصي وغير قابل لتحويل الاستخدام للغير، و لا يكون لك أي حقوق أخرى في المنصة أو في أي من المواد، ولا يجوز لك تعديل أو تحرير أو نسخ أو إعادة إنتاج أو إنشاء أعمال مشتقة أو إجراء هندسة عكسية أو تغيير أو تحسين المنصة أو المواد بأي شكل من الأشكال.

في حال إخلالك بأي من هذه الشروط، ينتهي استخدامك للمنصة تلقائياً دون حاجة إلى إشعار، ويلتزم المستخدم فوراً بإتلاف أي مواد تم تنزيلها أو طباعتها.

2-      حماية كلمة المرور في المنصة

في حال رغبتك في تسجيل حساب لدى الاكاديمية، ،يتعين عليك تقديم المعلومات التالية من خلال صفحة تسجيل الحساب في المنصة: الاسم الأول واسم العائلة، البريد الإلكتروني، وكلمة المرور المفضلة. وبعد تقديم معلومات التسجيل، يكون لمسؤول الاكاديمية الحق في قبول أو رفض طلب التسجيل وفقاً لتقديره المنفرد.

وتكون مسؤولاً عن الحفاظ على سرية كلمة المرور الخاصة بك في المنصة ، كما تتحمل المسؤولية عن جميع الأنشطة التي تتم باستخدام كلمات المرور الخاصة بك. وتوافق على عدم مشاركة كلمات المرور الخاصة بك، أو تمكين الآخرين من الوصول إليها أو استخدامها، أو القيام بأي إجراء قد يعرض أمن كلمات المرور للخطر. كما توافق على إخطار الاكاديمية في حال فقدان أو سرقة أي من كلمات المرور الخاصة بك، أو في حال علمك بأي استخدام غير مصرح به لها، أو بأي خرق أمني آخر يتعلق بالمنصة.

ويجب أن تكون جميع المعلومات التي تقدمها عند التسجيل أو من خلال المنصة صحيحة وكاملة ومحدّثة وتكون جميع الأنشطة والمحتوى التي تتم من خلال حساب المستخدم تحت مسؤوليته، وتحتفظ الأكاديمية بحق تعليق أو إيقاف أي حساب في حال الاشتباه في استخدامه بشكل مخالف لهذه الشروط أو للأنظمة النافذة 

3-      أهلية استخدام المنصة

يشترط لاستخدام المنصة:

·         أن يكون المستخدم متمتعًا بالأهلية النظامية الكاملة (وفق الأنظمة المعمول بها في المملكة)، أو

·         أن يستخدم المنصة بإشراف ولي أمره أو من ينوب عنه نظامًا في حال كان قاصرًا.

أ‌-         يلتزم المستخدم عند التسجيل بتقديم بيانات صحيحة ودقيقة ومحدَّثة، ويتحمّل وحده المسؤولية عن أي معلومات غير صحيحة يقدّمها.

4-      استخدام المنصة والأغراض المسموح بها

أ‌-         يُسمح للمستخدم باستخدام المنصة للأغراض التالية:

·         الاطلاع على المحتوى التعليمي والتدريبي المقدم من الأكاديمية.

·         الالتحاق بالدورات والبرامج المتاحة عبر المنصة.

·         استخدام أدوات التخطيط أو التتبع أو التقييم المتوفرة لغرض التطوير الشخصي أو المهني.

ب‌-    يلتزم المستخدم بعدم استخدام المنصة لأي أغراض غير مشروعة أو غير نظامية أو مخالفة للآداب العامة أو تضر بالأكاديمية أو مستخدميها أو أي طرف آخر" الاغراض غير مصرح بها"، بما في ذلك على سبيل المثال لا الحصر:

·         نشر أو إرسال أي محتوى مسيء أو مخالف للأنظمة أو ينطوي على تمييز أو تحريض أو إساءة دينية أو عرقية أو شخصية،

·         محاولة اختراق أو تعطيل المنصة أو تجاوز أي ضوابط أمنية أو فنية.

·         رفع أو تحميل ملفات تحتوي على فيروسات، او بيانات تالفة، أو برمجيات خبيثة أو القيام بكل ما من شأنه التأثير على سلامة التشغيل الصحيح في المنصة.

·         انتحال صفة أي شخص أو جهة أو تقديم بيانات أو محتوى مضلل أو مزيف.

·         نشر أي مواد محمية بحقوق النشر أو العلامات التجارية دون إذن صريح من مالكها.

·         نشر أي إعلانات أو مواد ترويجية غير مرغوب فيها أو غير مصرح بها، أو رسائل مزعجة (Spam)، أو رسائل متسلسلة، أو أي شكل مماثل.

·         نشر كل ما يعد مخالفة لأنظمة المملكة العربية السعودية وعلى وجه الخصوص نظام مكافحة الجرائم المعلوماتية ونظام حماية البيانات الشخصية ونظام التعاملات الالكترونية.

ت‌-    تحتفظ الأكاديمية بحق إيقاف أو تقييد وصول أي مستخدم للمنصة في حال مخالفة هذه الشروط أو الأنظمة النافذة.

    تعد قائمة المحظورات المذكورة أعلاه أمثلة توضيحية وليست شاملة أو حصرية. وتحتفظ الاكاديمية بالحق، مع أو بدون سبب، ومع أو بدون إشعار، وفي أي وقت، في اتخاذ ما تراه مناسباً، بما في ذلك إنهاء أو تقييد استخدامك للمنصة، وذلك لأي سبب أو دون سبب، أو في حال رأت الاكاديمية أن أي تصرف غير مناسب أو مُخلّ بسير العمل في المنصة أو يؤثر على أي مستخدم آخر له.

ويجوز للاكاديمية إبلاغ الجهات المختصة بإنفاذ الأنظمة عن أي أفعال قد تُعد غير نظامية، وكذلك عن أي بلاغات تتلقاها بشأن مثل هذا السلوك. وعند الاقتضاء نظاماً أو وفقاً لتقدير الاكاديمية، فإنها ستتعاون مع الجهات المختصة في أي تحقيق يتعلق بأنشطة يُشتبه في عدم نظاميتها على المنصة.

وقد يُشكل الاستخدام غير المصرح به لأي من المواد أو محتوى الأطراف الثالثة الواردة في هذه المنصة مخالفةً لبعض الأنظمة واللوائح المعمول بها.

وتوافق على تعويض الاكاديمة وإبراء ذمتها، وكذلك مسؤوليها وأعضاء مجلس إدارتها ومؤسسيها وموظفيها والشركات التابعة لها ووكلائها ومرخِّصيها وشركائها التجاريين، من وضد أي وجميع التكاليف أو الأضرار أو المسؤوليات أو المصروفات (بما في ذلك أتعاب المحامين ) التي قد تتكبدها الاكاديمية أو أي طرف مُعوَّض، سواء كانت ناشئة عن أو متعلقة بأي مطالبة أو دعوى من طرف ثالث تفيد بأن استخدامك للمنصة ينتهك أي نظام أو لائحة واجبة التطبيق، أو أي حقوق نشر أو علامات تجارية أو أي حقوق أخرى لأي طرف ثالث، أو كانت هذه التكاليف قد تكبدت بغرض تجنب مثل هذه المطالبات.

5-      المحتوى وحقوق الملكية الفكرية

أ‌-         جميع العلامات التجارية والاسماء والشعارات والمحتويات المعروضة على المنصة، بما في ذلك على سبيل المثال: النصوص، الفيديوهات، العروض التقديمية، الشعارات، الرسوم، الواجهات، وأي مواد تعليمية أو تفاعلية، هي ملك للأكاديمية أو للجهات المرخِّصة لها، ومحمية بموجب أنظمة حماية حقوق الملكية الفكرية والأنظمة ذات العلاقة في المملكة العربية السعودية.

ب‌-    يُحظر على المستخدم، دون إذن كتابي مسبق من الأكاديمية، القيام بأي من الآتي:

·         نسخ أو إعادة إنتاج أو نشر أو توزيع أو تعديل أو اقتباس أو ترجمة أي جزء من المحتوى.

·         بيع أو تأجير أو ترخيص أو إحالة المحتوى لأي طرف ثالث.

·         إزالة أو إخفاء أي إشعارات أو علامات ملكية فكرية مرفقة بالمحتوى.

6-      محتوى المستخدم

أ‌-         قد تسمح المنصة للمستخدم بإدخال أو رفع محتوى معيّن (مثل: إجابات، تعليقات، خطط شخصية في أدوات التخطيط، إلخ). ويظل المستخدم مسؤولًا عن هذا المحتوى من حيث:

·         عدم مخالفته للأنظمة أو الحقوق الخاصة بالغير.

·         دقته وعدم انطوائه على تشهير أو إساءة أو انتهاك لخصوصية أي شخص آخر ولا  يجوز لك تحميل أو نشر أو إتاحة أي مواد عبر المنصة تكون محمية بحقوق النشر أو العلامات التجارية أو أي حقوق ملكية أخرى دون الحصول على إذن صريح من مالك تلك الحقوق، وتقع على المستخدم مسؤولية التحقق مما إذا كانت أي مواد محمية بمثل هذه الحقوق.

ب‌-    مع عدم الإخلال بما ورد في سياسة الخصوصية، يقر المستخدم بأن الأكاديمية قد تستخدم بعض هذا المحتوى – بعد إخفاء الهوية أو تجميعه – لأغراض تطوير وتحسين الخدمات أو إعداد تقارير عامة أو إحصائية، بما لا يمكّن من تحديد هوية المستخدم.

ت‌-    تحتفظ الأكاديمية بالحق في إزالة أو حجب أي محتوى يتم إدخاله من قبل المستخدم إذا رأت أنه مخالف لهذه الشروط أو للأنظمة النافذة أو يمس بحقوق أو سلامة أي طرف.

ث‌-    لا تضمن الاكاديمية للمستخدم اي حقوق أو امتيازات أو تراخيص من اي نوع لاي من المعلومات أو المحتوى الذي يقوم المستخدم بانشائه وارساله في المنصة أو من خلال التواصل التفاعلي في المنصة.

وفي جميع الاحوال، تكون مسؤولاً عن جميع المعلومات والآراء والرسائل والتعليقات وأي محتوى أو مواد أخرى تقوم بتقديمها أو تحميلها أو نشرها أو إتاحتها بأي شكل من الأشكال عبر المنصة (ويُشار إلى كل منها بـ “المحتوى المقدم”)، وكذلك عبر أي من الخدمات المتاحة المرتبطة بالمنصة.

ولا  يجوز لك تحميل أو نشر أو إتاحة أي مواد عبر المنصة تكون محمية بحقوق النشر أو العلامات التجارية أو أي حقوق ملكية أخرى دون الحصول على إذن صريح من مالك تلك الحقوق، وتقع عليك مسؤولية التحقق مما إذا كانت أي مواد محمية بمثل هذه الحقوق.

وتتحمل وحدك المسؤولية عن أي أضرار تنشأ عن أي انتهاك لحقوق النشر أو العلامات التجارية أو حقوق الملكية أو خرق للعقود أو الخصوصية أو حقوق النشر الإعلامي (Publicity Rights) أو أي ضرر آخر ناتج عن أي محتوى مقدم من قبلك. كما تتحمل المسؤولية الكاملة عن كل محتوى تقدمه، بما في ذلك نظاميته وموثوقيته وملاءمته.

وتوافق على سداد كافة التعويضات وأي مبالغ أخرى مستحقة لأي شخص نتيجة الضرر أو الانتهاك الناتج عن المحتوى المقدم من قبلك عبر المنصة.

وعند تقديمك لأي محتوى، فإنك توافق على ألا يكون هذا المحتوى مخالفاً لبند "الأغراض غير المصرح بها" ، مع العلم أن هذه القيود لا تُلزم الاكاديمية بمراقبة أو مراجعة أو إزالة أي محتوى مقدم من قبلك أو من أي مستخدم آخر.

7-      البيانات الشخصية التي يتم جمعها من المستخدم - سياسة الخصوصية

تخضع أي بيانات شخصية يتم جمعها أو معالجتها من خلال المنصة لسياسة الخصوصية الخاصة بالأكاديمية، والتي تعد جزءًا لا يتجزأ من هذه الشروط. ويُعد استمرار استخدام المنصة موافقةً من المستخدم على سياسة الخصوصية بالصيغة المنشورة والمحدَّثة على المنصة.

8-       الخدمات في المنصة

أ‌-         تُقدَّم خدمات المنصة الحالية بشكل مجاني للمستخدمين، سواء كانوا من منسوبي مجموعة الدباغ والشركات التابعة لها أو من المستخدمين الخارجيين، وذلك وفق ما تقرره الأكاديمية من برامج ودورات وخدمات متاحة من وقت لآخر.

ب‌-    تحتفظ الأكاديمية بحقها في تعديل طبيعة بعض الخدمات مستقبلًا (بما في ذلك استحداث خدمات مدفوعة أو تغيير نطاق الخدمات المجانية)، على أن يتم بيان أي شروط إضافية أو خاصة في حينه، مع إشعار المستخدمين بالتغييرات الجوهرية وفقًا لما هو مبيَّن في بند "التعديلات على الشروط".

ت‌-    لا يترتّب على مجانية الخدمات الحالية أي التزام على الأكاديمية باستمرار تقديم أي برنامج أو دورة أو خدمة لفترة زمنية معيّنة، ويجوز لها تعديل أو إيقاف أي جزء من الخدمات متى رأت ذلك مناسبًا.

ث‌-    ويحق للاكاديمية من وقت لآخر في إصدار نسخ محدثة من التطبيق، ويجوز لها ترقية إصدار التطبيق المستخدم من قبلك على جهازك المحمول تلقائياً وبشكل إلكتروني. وبموجب هذا، فإنك توافق على هذه الترقيات التلقائية، وتقر بأن هذه الشروط تسري على جميع تلك الترقيات.

9-      الحماية من الفيروسات

إننا نبذل كل الجهود لفحص واختبار محتويات المنصة وننصح دائماً بتشغيل برنامج مضاد للفيروسات على كل المواد التي يتم إنزالها. ونحن غير مسؤولين عن أي خسارة أو انقطاع أو تلف لبياناتك أو جهاز الحاسب لديك والذي قد يحدث أثناء الاتصال بهذه المنصة أو عند استخدام مواد واردة في هذه المنصة.

10-  استخدام الروابط في المنصة

قد تحتوي المنصة على روابط لمواقع الاطراف الثالثة أو خدمات أو أدوات مقدّمة من أطراف أخرى لا تملكها الأكاديمية ولا تديرها. وفي هذه الحالة:

أ‌-         لا تتحمل الأكاديمية أي مسؤولية عن المحتوى أو سياسات الخصوصية أو الممارسات الخاصة بتلك الجهات ولاتقدم اي ضمانات بشأنها.

ب‌-    يتحمل المستخدم مسؤولية الاطلاع على الشروط وسياسات الخصوصية الخاصة بتلك المواقع أو الخدمات قبل استخدامها.

وفي جميع الأحوال، فإنك تُقرّ وتوافق على أن مواقع الأطراف الثالثة قد تكون لها سياسات خصوصية وشروط وأحكام و/أو أدلة استخدام وممارسات تجارية تختلف عن تلك الخاصة بالاكاديمية، كما تُقرّ وتوافق على أن استخدامك لهذه المواقع يخضع لسياسات الخصوصية والشروط والأحكام و/أو أدلة الاستخدام الخاصة بكل موقع من مواقع الأطراف الثالثة.

وبموجب ذلك، فإنك توافق على الالتزام بكافة الشروط والأحكام وأدلة الاستخدام وسياسات الخصوصية الخاصة بأي من مواقع الأطراف الثالثة.

وتقوم  الاكاديمية بإتاحة روابط مواقع الأطراف الثالثة لك على سبيل التيسير فقط، ولا تقوم بالتحقق منها أو تقديم أي إقرارات أو ضمانات بشأنها، ولا تتحمل أي مسؤولية عنها، بما في ذلك، على سبيل المثال لا الحصر، صحة أو دقة أو جودة أو اكتمال المحتوى أو الخدمات أو الروابط المعروضة أو أي أنشطة تتم على هذه المواقع أو من خلالها.

وتوافق على أن الاكاديمية لن تكون، تحت أي ظرف من الظروف، مسؤولة أو ملزمة، بشكل مباشر أو غير مباشر، عن أي سلع أو خدمات أو معلومات أو موارد و/أو محتوى متاح على أو من خلال أي من مواقع الأطراف الثالثة، و/أو عن أي تعاملات أو تواصل مع أطراف ثالثة، أو عن أي ضرر يتعلق بذلك، أو عن أي أضرار أو خسائر ناجمة أو يُدعى أنها ناجمة عن أو فيما يتصل باستخدامك أو اعتمادك على المحتوى أو الممارسات التجارية لأي طرف ثالث.

11-   إخلاء المسؤولية

·         تقدّم الأكاديمية الخدمات والمحتوى التعليمي "كما هو" و"حسب التوافر"، ولا تقدّم أي ضمانات صريحة أو ضمنية تتعلق بدقة المحتوى أو ملاءمته لغرض معيّن أو خلوّه من الأخطاء أو الانقطاعات. كما لا تتحمل أي مسؤولية عن أي أخطاء في تلك المواد، سواء كانت مقدمة من الاكاديمية أو من مرخِّصيها أو مورِّديها أو من مستخدمين آخرين. وتوافق على أن الاكاديمية أو مالكيها أو أي من إداراتها أو مسؤوليها لن تكون، تحت أي ظرف من الظروف، مسؤولة أو ملزمة، بشكل مباشر أو غير مباشر، عن أي معلومات أو محتوى متاح على أو من خلال المنصة أو أي من مواقع الأطراف الثالثة أو عن أي ضرر يتعلق بذلك، أو عن أي أضرار أو خسائر فيما يتصل باستخدامك أو اعتمادك على المحتوى أو المواد الموجودة في المنصة.

ولا تقدم الاكاديمية، لذاتها أو نيابة عن مرخِّصيها، أي إقرارات أو ضمانات، صريحة أو ضمنية أو نظامية، فيما يتعلق بالمنصة أو الخدمات أو أي مواد مرتبطة بها، بما في ذلك، على سبيل المثال لا الحصر، ما يتعلق بجودة أو ملاءمة أو صحة أو دقة أو اكتمال أي معلومات أو مواد معروضة فيه ويتم تقديم المواد وأي معلومات أو محتوى في المنصة ، دون أي ضمانات من أي نوع، بما في ذلك الضمانات الضمنية المتعلقة  بالملاءمة لغرض معين أو عدم التعدي على حقوق الغير.

كما لا تقدم الاكاديمية أي ضمانات ضد الفيروسات أو برامج التجسس أو البرمجيات الخبيثة التي قد تصيب جهازك.

تبذل الأكاديمية جهودًا معقولة للحفاظ على استمرارية المنصة وسلامة عملها، إلا أنها لا تضمن خلو الخدمة من الانقطاعات أو التأخير أو الأعطال الفنية التي قد تنشأ لأسباب خارجة عن إرادتها (مثل مشاكل الاتصال أو أعطال مزوّدي الخدمة أو الظروف الخارجة عن السيطرة) وبذلك:

أ‌-         لا تتحمل الأكاديمية أي مسؤولية عن أي أضرار مباشرة أو غير مباشرة أو عرضية أو تبعية تنشأ عن:

·         استخدام أو عدم القدرة على استخدام المنصة.

·         الاعتماد على أي محتوى تعليمي أو معلوماتي مقدّم عبر المنصة.

وبهذا تقر بعدم اتخاذ أي إجراء أو دعوى ضد الاكاديمية أو أي من إداراتها أو مسؤوليها أو مالكيها  وتبرئ ذمتهم من أي ضرار أو مسؤولية تنشأ  باستخدامك المنصة وبأي وبجميع الالتزامات والمسؤوليات التي قد تطرأ فيما يتصل بأية مطالبة تنشأ عن ذلك أو  أي مسؤولية تنشأ من إخلال المستخدم ببنود وشروط الاستخدام، أو الاخلال بالانظمة السارية في المملكة العربية السعودية. 

12-  تحديد المسؤولية

لا تتحمل الاكاديمية أي مسؤولية تجاهك و عن أي أضرار تنشأ عن عرضك أو نسخك أو تنزيلك لأي من المواد من أو إلى المنصة.

ولا تتحمل الاكاديمية، في أي حال من الأحوال، المسؤولية تجاهك عن أي أضرار غير مباشرة أو تبعية أو عرضية أو جزائية أو خاصة (بما في ذلك خسارة البيانات أو الإيرادات أو الأرباح أو الاستخدام أو أي منفعة اقتصادية أخرى)، أياً كان سببها.

13-   الإنهاء وتعليق الوصول

أ‌-         يحق للمستخدم إنهاء استخدامه للمنصة في أي وقت من خلال التوقف عن استخدامها أو طلب حذف حسابه (وفق ما هو مبيّن في سياسة الخصوصية).

ب‌-    تحتفظ الأكاديمية بحقها في تعليق أو إيقاف وصول المستخدم إلى المنصة أو إنهاء حسابه، كليًا أو جزئيًا، في أي من الحالات الآتية:

·         مخالفة المستخدم لهذه الشروط أو لأي من السياسات المرتبطة بها.

·         استخدام المنصة لأغراض غير مشروعة أو مخالفة للأنظمة أو الآداب العامة.

·         صدور طلب أو توجيه نظامي من جهة مختصة بإيقاف أو تقييد الخدمة.

ت‌-    لا يترتب على إنهاء الوصول أو إيقاف الحساب التزام على الأكاديمية بالتعويض عن أي أضرار مباشرة أو غير مباشرة.

14-   التعديلات على الشروط

أ‌-         تحتفظ الأكاديمية بحق تعديل هذه الشروط من وقت لآخر، بما يتوافق مع المتطلبات النظامية أو التنظيمية أو بما يلزم لتحسين الخدمات أو تنظيم استخدامها.

ب‌-    سيتم إشعار المستخدمين بأي تعديلات جوهرية على الشروط عبر المنصة أو عبر وسيلة اتصال مناسبة، مع بيان تاريخ سريان التعديلات.

15-   القانون الواجب التطبيق والاختصاص القضائي

تدير الاكاديمية المنصة من مقرها الرئيسي في المملكة العربية السعودية، وقد لا تكون المواد مناسبة أو متاحة للاستخدام  في دول أخرى. وفي حال استخدامك للمنصة خارج المملكة العربية السعودية، فإنك تتحمل مسؤولية ذلك وبالالتزام بالقوانين المحلية واجبة التطبيق.

وتخضع هذه الشروط وتُفسَّر حصرياً وفقًا للأنظمة واللوائح المعمول بها في المملكة العربية السعودية، دون الاعتداد بقواعد تنازع القوانين، وفي حال نشوء أي نزاع يتعلق بهذه الشروط أو باستخدام المنصة، يكون الاختصاص حصرياً للجهات القضائية المختصة داخل المملكة العربية السعودية.

16-  احكام عامة

 وتُعد هذه الشروط الاتفاق الكامل بينك وبين الاكاديمية، وتحل محل جميع المفاوضات أو المناقشات أو الاتفاقيات السابقة. وسيتم التعامل مع الطلبات والشكاوى وفقًا للأنظمة المعمول بها في المملكة العربية السعودية والسياسات الداخلية للأكاديمية.

        وتبقى أحكام حقوق الملكية، وإخلاء المسؤولية عن الضمانات، والإقرارات، والتعويضات، وتحديد المسؤولية، والأحكام العامة سارية حتى بعد إنهاء هذه الشروط.

1. About the Academy
Omnipreneurship Academy (“Academy”, “we”, “us”, or “our”) is an educational/training platform that provides learning content, programs, and development courses through its website and smart devices (hereinafter collectively referred to in these Terms as the “Platform”). The Platform is operated and managed from the Academy’s headquarters in the Kingdom of Saudi Arabia.

These Terms constitute a binding agreement between the Academy and each user who accesses, uses, or registers on the Platform, whether they are colleagues of Al-Dabbagh Group and its affiliated companies or external users who wish to benefit from the Platform’s services.

2. Acceptance of the Terms
By using the Platform, registering on it, or continuing to use it, you acknowledge and agree to all of the following:

·         You have read and understood these Terms and agree to be bound by them, as well as by any other policies referenced in them, including the Privacy Policy.

·         You agree to comply with all applicable laws and regulations in force in the Kingdom of Saudi Arabia in connection with your use of the Platform.

The Platform includes a set of provisions, terms, and policies that may be amended or updated from time to time as needed. All such amendments or updates become effective and binding once they are updated and published on the Platform.

You are responsible for reviewing the Terms of Use periodically to stay informed of any changes. Your continued use of the Platform after any modification or update constitutes your acknowledgment that you have read the updated Terms and your full agreement to all that is stated in them.

3. General Ues.

The Academy provides content through the Platform that is copyrighted and/or trademarked work of the Academy or Company’s third-party licensors and suppliers or other users of the Platform (collectively, the “Materials”). Materials may include logos, graphics, video, images, software and other content.

Subject to the terms and conditions of these Terms, and your compliance with these Terms, The Academy hereby grants you a limited, personal and non-transferable to benefit from using and to display the Materials and to use this Platform solely for your personal use. Except for that, you have no other rights in the Platform or any Materials and you may not modify, edit, copy, reproduce, create derivative works of, reverse engineer, alter, enhance or in any way exploit any of the Platform or Materials in any manner.

If you breach any of these Terms, the above license will terminate automatically and you must immediately destroy any downloaded or printed Materials.

4. Password Restricted Areas of this Platform.

If you desire to register for an account with Academy, you must submit the following information through the account registration page on the Platform: first and last name, email and preferred password. Once you have submitted your account registration information, the Academy administrator shall have the right to approve or reject the requested registration, in the Academy administrator’s sole discretion.

You are responsible for maintaining the confidentiality of your Platform Password and you are responsible for all activities that occur using your Passwords. You agree not to share your Passwords, let others access or use your Passwords or do anything else that might jeopardize the security of your Passwords. You agree to notify the Academy if any of your Passwords on the Platform is lost, stolen, if you are aware of any unauthorized use of your Passwords on the Platform or if you know of any other breach of security in relation to the Platform.

All the information that you provide when registering for an account and otherwise through the Platform must be accurate, complete and up to date.

 All activities and content carried out through your account are your responsibility. The Academy reserves the right to suspend or terminate any account if it suspects that it is being used in violation of these Terms or applicable laws.

5. Eligibility to Use the Platform.
To use the Platform, the following is required:

·         You must have full legal capacity under the laws in force in the Kingdom of Saudi Arabia; or

·         If you are a minor, you must use the Platform under the supervision of your legal guardian or someone legally authorized to act on your behalf.

When registering, you are required to provide accurate, correct, and up-to-date information, and you are solely responsible for any incorrect or inaccurate information you provide.

6. Permitted Use of the Platform.
You may use the Platform for the following purposes:

·         Accessing educational and training content provided by the Academy.

·         Enrolling in courses and programs available through the Platform.

·         Using planning, tracking, or assessment tools available on the Platform for your personal or professional development.

You agree not to use the Platform for any unlawful, non-compliant, or inappropriate purposes, or in any way that harms the Academy, its users, or any third party “Unauthorized Activities”, including but not limited to:

·         Posting or transmitting any content that is offensive, unlawful, discriminatory, incites hatred, or constitutes religious, racial, or personal abuse.

·         Attempting to hack, disrupt, or interfere with the Platform or to bypass any security or technical controls.

·         Uploading or submitting files through that contain viruses, corrupted data, malicious software, or performing any actions that may compromise the integrity of information or the proper functioning of the Platform.

·         Impersonating any person or entity or providing misleading or false information or content.

• Disseminate any unsolicited or unauthorized advertising, promotional materials, 'junk mail', 'spam', 'chain letters', 'pyramid schemes', or any other form of such solicitation.
• Publishing any content that violates the laws and regulations of the Kingdom of Saudi Arabia is also prohibited, particularly the Anti-Cybercrime Law, the Personal Data Protection Law, and the Electronic Transactions Law.

The Academy reserves the right to suspend or restrict any user’s access to the Platform if they violate these Terms or any applicable laws.

This list of prohibitions provides examples and is not complete or exclusive. The Academy reserves the right to with or without cause and with or without notice, for any reason or no reason, or for any action that Company determines is inappropriate or disruptive to this Platform or to any other user of this Platform. The Academy may report to law enforcement authorities any actions that may be illegal, and any reports it receives of such conduct. When legally required or at Academy’s discretion, Academy will cooperate with law enforcement agencies in any investigation of alleged illegal activity on this Platform.

Unauthorized use of any Materials or Third-Party Content contained on this Platform may violate certain laws and regulations.

You agree to indemnify and hold the Academy and its officers, directors, employees, affiliates, agents, licensors, and business partners harmless from and against any and all costs, damages, liabilities, and expenses (including attorneys’ fees and costs of defense) Academy or any other indemnified party suffers in relation to, arising from, or for the purpose of avoiding, any claim or demand from a third-party that your use of this Platform violates any applicable law or regulation, or the copyrights, trademark rights or other rights of any third-party.

7. Content and Intellectual Property Rights.

All trademarks, names, content and logos displayed on the Platform, including but not limited to text, videos, presentations, logos, graphics, interfaces, and any educational or interactive materials, is owned by the Academy or its licensors and is protected by intellectual property laws and related regulations in the Kingdom of Saudi Arabia.

You are strictly prohibited, without the Academy’s prior written consent, from:

·         Copying, reproducing, publishing, distributing, modifying, adapting, or translating any part of the content.

·         Selling, renting, licensing, or assigning the content to any third party.

·         Removing or obscuring any intellectual property notices or proprietary markings attached to the content.

8. User-Generated Content.
The Platform may allow you to submit or upload certain content (such as answers, comments, or personal plans within planning tools). You are solely responsible for such content, including:

·         Ensuring that it does not violate any laws or third-party rights, you may not upload, post or otherwise make available on the Platform any material protected by copyright, trademark, or any other proprietary right without the express permission of the owner of such copyright, trademark or other proprietary right owned by a third-party, and the burden of determining whether any material is protected by any such right is on you.

·         Ensuring its accuracy and that it does not contain defamation, abuse, or violations of anyone’s privacy.

Without prejudice to the Privacy Policy, you acknowledge that the Academy may use some of this content—after anonymization or aggregation—for the purposes of developing and improving services or preparing general or statistical reports, in a way that does not enable the identification of individual users.

The Academy reserves the right to remove or block any user-generated content if it deems that such content violates these Terms, applicable laws, or the rights or safety of any party.

The Academy does not grant the user any rights, privileges, or licenses of any kind in or to any information or content created or submitted by the user on the Platform or through interactive communications on the Platform.

In all cases, you are responsible for the information, opinions, messages, comments, and other content or material that you submit, upload, post or otherwise make available on or through the Platform and through any Services available in connection with the Platform. You may not upload, post or otherwise make available on the Platform any material protected by copyright, trademark, or any other proprietary right without the express permission of the owner of such copyright, trademark or other proprietary right owned by a third-party, and the burden of determining whether any material is protected by any such right is on you. You shall be solely liable for any damage resulting from any infringement of copyrights, trademarks, proprietary rights, violation of contract, privacy or publicity rights or any other harm resulting from any Submission that you make. You have full responsibility for each Submission you make, including its legality, reliability and appropriateness.

9. Personal Data Collected from Users – Privacy Policy.
Any personal data collected or processed through the Platform is subject to the Academy’s Privacy Policy, which forms an integral part of these Terms. Your continued use of the Platform constitutes your acceptance of the Privacy Policy as published and updated on the Platform.

10. Services on the Platform.
The current services on the Platform are provided free of charge to users, whether they are colleagues of Al-Dabbagh Group and its affiliated companies or external users, in accordance with the programs, courses, and services determined by the Academy from time to time.

The Academy reserves the right to modify the nature of certain services in the future (including the introduction of paid services or changes to the scope of free services). Any additional or specific terms will be set out at that time, and users will be notified of any material changes as described in the “Amendments to the Terms” section.

The current free nature of the services does not create any obligation on the Academy to continue providing any particular program, course, or service for any specific period. The Academy may modify or discontinue any part of the services at its discretion.

From time to time, the Academy may release updated versions of the application and may automatically upgrade the version you are using on your mobile device electronically. By accepting these Terms, you agree to such automatic upgrades, and you acknowledge that these Terms apply to all such upgrades.

11. Protection Against Viruses.
We make every reasonable effort to scan and test the content of the Platform. We strongly recommend that you run antivirus software on all materials downloaded from the Platform.

We are not responsible for any loss, interruption, or damage to your data or device that may occur while connecting to the Platform or using any materials provided on it.

12. Use of Links on the Platform
The Platform may contain links to websites, services, or tools provided by third parties that are not owned or operated by the Academy. In such cases:

·         The Academy assumes no responsibility for the content, privacy practices, or policies of such third parties and does not provide any warranties regarding them.

·         You are solely responsible for reviewing the terms of use and privacy policies of these third-party websites or services before using them.

In any case, you acknowledge and agree that the Third-Party Sites may have different privacy policies and terms and conditions and/or user guides and business practices than Company, and you further acknowledge and agree that your use of such Third-Party Sites is governed by the respective Third-Party Site privacy policy and terms and conditions and/or user guides. You hereby agree to comply with any and all terms and conditions, users guides and privacy policies of any of Third-Party Sites. The Academy is providing links to the Third-Party Sites to you as a convenience, and Academy does not verify, make any representations or take responsibility for such Third-Party Sites, including, without limitation, the truthfulness, accuracy, quality or completeness of the content, services, links displayed and/or any other activities conducted on or through such Third-Party Sites. You agree that academy will not, under any circumstances, be responsible or liable, directly or indirectly, for any goods, services, information, resources and/or content available on or through any third-party sites and/or third-party dealings or communications, or for any harm related thereto, or for any damages or loss caused or alleged to be caused by or in connection with your use or reliance on the content or business practices of any third-party.

13. Disclaimer of Warranties.

The Academy provides the services and educational content on the Platform “as is” and “as available,” without any express or implied warranties regarding the accuracy of the content, its fitness for a particular purpose, or its freedom from errors or interruptions.

The Academy shall not bear responsibility or liability for any errors in any materials, whether provided by the Academy, its owner, its licensors, suppliers, or other users. You agree that, under no circumstances, shall the Academy be liable, directly or indirectly, for any information or content made available on or through the Platform or any third-party websites, or for any damage related thereto, or for any damages or losses arising from your use of or reliance on such content or materials.

The academy for itself and its licensors, makes no express, implied or statutory representations, warranties, or guarantees in connection with this platform, the services, or any materials relating to the quality, suitability, truth, accuracy or completeness of any information or material contained or presented on this platform, including without limitation the materials., this platform, materials and any information or material contained or presented on this platform is provided to you on an “as is,” “as available” and “where-is” basis with no warranty of implied warranty of merchantability, fitness for a particular purpose, or non-infringement of third-party rights. Company does not provide any warranties against viruses, spyware or malware that may be installed on your computer.

The Academy makes reasonable efforts to maintain the continuity and proper functioning of the Platform; however, it does not guarantee that the service will be free from interruptions, delays, or technical malfunctions that may arise due to circumstances beyond its control (such as connectivity issues, service provider failures, or other force majeure events). Accordingly:

The Academy shall not be liable for any direct, indirect, incidental, or consequential damages arising from:

·         Your use of or inability to use the Platform; or

·         Your reliance on any educational or informational content provided through the Platform.

By using the Platform, you hereby agree not to file any claim or legal action against the Academy, its management, owners, officers, or shareholders, and you release them from any harm or liability arising from your use of the Platform. You further agree to indemnify and hold them harmless from any obligations or liabilities that may arise in connection with any claim resulting from such use or from any breach by you of these Terms of Use or of the laws in force in the Kingdom of Saudi Arabia.

14. Limitation of Liability.

The academy shall not be liable to you for any damages resulting from your displaying, copying, or downloading any materials to or from this platform. In no event shall the academy be liable to you for any indirect, extraordinary, exemplary, punitive, special, incidental, or consequential damages (including loss of data, revenue, profits, use or other economic advantage).

15. Termination and Suspension of Access.

You may terminate your use of the Platform at any time by ceasing to use it or by requesting deletion of your account (as described in the Privacy Policy).

The Academy reserves the right to suspend or terminate your access to the Platform or to close your account, in whole or in part, in any of the following cases:

·         If you violate these Terms or any related policies.

·         If you use the Platform for unlawful purposes or in violation of applicable laws or public morals.

·         If an official or legal order is issued by a competent authority to suspend or restrict the service.

Termination or suspension of access shall not give rise to any obligation on the Academy to compensate for any damages.

16. Amendments to the Terms.
The Academy reserves the right to amend these Terms from time to time, in line with legal or regulatory requirements or as necessary to improve or regulate the services.

 Users will be notified of any material changes to these Terms via the Platform or by another appropriate communication method, indicating the effective date of such changes. Your continued use of the Platform after the effective date of any amendments shall constitute your acceptance of the amended Terms.

17. Governing Law and Jurisdiction.
The Academy controls and operates the platform from its headquarters in Saudi Arabia and the Materials may not be appropriate or available for use in other locations. If you use this platform outside Saudi Arabia, you are responsible for following applicable local laws.

These Terms are governed exclusively by and shall be construed in accordance with the laws and regulations in force in the Kingdom of Saudi Arabia.

In the event of any dispute arising out of or in connection with these Terms or your use of the Platform, jurisdiction shall lie with the competent judicial authorities in the Kingdom of Saudi Arabia.

18. General.

These Terms are the entire agreement between you and Academy and supersede all prior or contemporaneous negotiations, discussions or agreements between you and Academy about this Platform.

Requests and complaints will be settled in accordance with the applicable laws in the Kingdom of Saudi Arabia and the internal policies of the Academy.

The proprietary rights, disclaimer of warranties, representations made by you, indemnities, limitations of liability and general provisions shall survive any termination of these Terms.
